What these Terms cover
These Terms of Engagement govern your use of qnowconsulting.com and related pages (the “Site”), and, in Section 24, the purchase of a subscription plan through the Site’s checkout. They do not themselves define the scope of professional work. The scope, deliverables, and professional terms of paid services are set by a separately executed Engagement Letter between you and QNOW Consulting Inc. If anything in these Terms conflicts with your Engagement Letter, the Engagement Letter controls for that engagement.
1. Acceptance and effective date
By accessing or using the Site, you agree to these Terms of Engagement as of the “Last updated” date above. If you do not agree, do not use the Site.
2. Eligibility
The Site is intended for use by adults located in the United States. By using the Site, you represent that you are at least 18 years old and that your use complies with applicable law.
3. Scope of the Site
The Site is primarily informational. It describes QNOW Consulting Inc. and the categories of services we offer. The Site also offers subscription plans for purchase; those purchases are governed by Section 24 and by our Refund & Cancellation Policy. Visiting the Site, contacting us through a web form, sending us an email, or speaking with us by telephone does not, in itself, create an accountant-client relationship, an engagement, or any other professional relationship. Purchasing a subscription begins a commercial relationship and authorizes recurring billing, but the professional scope of the work is established during onboarding and in your Engagement Letter.
4. No professional advice; no fiduciary duty
Content on the Site is general in nature and is not, and should not be construed as, individualized tax, accounting, legal, or investment advice. No fiduciary duty arises from the Site. Do not act, or refrain from acting, based on Site content without obtaining professional advice tailored to your facts.
5. Engagement Letter governs paid services
The professional scope of our work is set out in a written engagement letter countersigned by an authorized representative of QNOW Consulting Inc. The engagement letter sets out scope, deliverables, fees, authorities and consents (including any consents required under Internal Revenue Code Section 7216), and the limitation of liability for that engagement. To the extent of any conflict between these Terms and your engagement letter, the engagement letter controls for that engagement.
Where you purchase a subscription plan through the Site before an engagement letter is signed, the purchase creates a billing relationship on the terms in Section 24 and in our Refund & Cancellation Policy. Professional work begins once scope is confirmed during onboarding. If we determine we cannot accept the engagement, we will tell you and will not charge you for a billing month in which we neither performed nor stood ready to perform.
6. IRS Circular 230 disclaimer
Any tax information on the Site is provided for general informational purposes. It is not intended or written by QNOW Consulting Inc. to be used, and cannot be used by any person, for the purpose of (a) avoiding penalties that may be imposed under the Internal Revenue Code or under any state or local tax provision, or (b) promoting, marketing, or recommending to another party any transaction or matter addressed in the content.
7. Intellectual property
The Site and all of its contents, including text, graphics, layout, source code, the “QNOW” and “QNOW Consulting” names, the stylized Q mark, logos, and any tagline, are owned by QNOW Consulting Inc. or its licensors and are protected by United States and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, non-commercial use. All other rights are reserved. Without our prior written consent you may not:
- Reproduce, distribute, modify, create derivative works from, or publicly display Site content.
- Scrape, harvest, or systematically extract data from the Site.
- Use Site content to train, fine-tune, or otherwise build any machine-learning model, large-language model, or generative artificial-intelligence system, or to create datasets used for such purposes.
- Reverse engineer, decompile, or disassemble any part of the Site.
- Use the “QNOW” name or our marks in a way that suggests sponsorship or endorsement we have not given.
8. User submissions
If you submit information through a contact form or by email, you grant QNOW Consulting Inc. a limited license to use that information for the sole purpose of responding to you and considering whether to enter into an engagement.
Do not submit confidential, sensitive, or tax-related personal information through unsecured channels. Web forms and standard email are not secure. To send tax documents, identifiers, or financial account information, contact us by phone at (646) 904-5895 and we will provide a secure submission method.
9. Acceptable use
You agree not to:
- Use the Site to violate any applicable law or regulation.
- Interfere with or disrupt the Site, our servers, or our networks, including by overloading, flooding, or sending malicious code.
- Attempt to gain unauthorized access to any account, system, or data.
- Impersonate any person or misrepresent your affiliation with any person.
- Use the Site to harass, threaten, defame, or otherwise harm another person.
- Use any robot, spider, scraper, or similar automated means to access the Site for any purpose without our written permission.
10. Third-party content
Typefaces used on the Site are compiled into the Site and served from our own domain, so viewing a page does not send a request to a font provider. The Site does embed or link to third-party services, including a scheduling embed (Cal.com) used to book a consultation, a hosted checkout (Stripe) used to take payment, and a link to a separate employee portal operated at claorova.com. Those services are operated by their providers under their own terms and privacy policies. We are not responsible for the content, products, services, or practices of third-party sites or services linked from or embedded in the Site.
11. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QNOW CONSULTING INC. AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, OR LOSS OR CORRUPTION OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE IS CAPPED AT THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100). THIS CAP DOES NOT MODIFY THE LIABILITY CAP IN ANY ENGAGEMENT LETTER, WHICH GOVERNS PAID PROFESSIONAL SERVICES SEPARATELY.
Nothing in these Terms limits or excludes liability for gross negligence, willful misconduct, fraud, fraudulent misrepresentation, or any liability that cannot be limited or excluded under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless QNOW Consulting Inc. and its officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Site, (b) your breach of these Terms, or (c) your violation of any law or the rights of any third party.
14. Electronic communications and e-signature
You consent to receive communications from us electronically, including by email and through the Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. Where you sign engagement documents electronically, you consent to the use of electronic signatures under the federal E-SIGN Act and the New York Electronic Signatures and Records Act (ESRA).
15. Confidentiality reminder
Email is not a secure medium for sensitive tax or financial information. Do not transmit Social Security Numbers, banking information, or tax documents to us by unencrypted email. Use the telephone number below or request a secure submission method.
16. Pre-suit notice and good-faith negotiation
Before commencing any formal proceeding, the parties will provide thirty (30) days’ written notice of the dispute and attempt in good faith to resolve it. Notices must be delivered using the contact details below.
17. Dispute resolution and governing law
These Terms and any dispute arising out of or relating to them, the Site, or a subscription purchased through the Site are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of New York for any action arising out of or relating to these Terms, the Site, or such a subscription, and waive any objection to venue in those courts. This provision does not deprive you of the protection of any mandatory provision of the law of your place of residence that cannot be derogated from by agreement.
18. General provisions
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Entire agreement. These Terms, together with the Privacy Protocol and any engagement letter you have signed with us, constitute the entire agreement between you and QNOW Consulting Inc. regarding the Site.
- Headings. Headings are for convenience only and do not affect interpretation.
19. Termination of access
We may suspend or terminate your access to the Site at any time, with or without notice, including for conduct that violates these Terms or is harmful to us, our clients, or third parties. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.
20. Changes to these Terms
We may revise these Terms from time to time. The “Last updated” date at the top reflects the most recent revision. Material changes will be posted on the Site. Continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.
21. Force majeure
We are not liable for any failure or delay in performance to the extent caused by events beyond our reasonable control, including acts of God, fire, flood, severe weather, public health emergencies, government action, civil unrest, war, terrorism, cyberattack, internet or utility outages, or labor disputes.

By providing your mobile number, on a phone call with our office or AI receptionist, through our online booking page, or by texting us, you consent to receive text messages from QNOW Consulting at the number you provide.

- Carriers. Mobile carriers are not liable for delayed or undelivered messages.
24. Terms of sale: subscription plans
This Section 24 applies when you purchase a subscription plan through the Site’s checkout. It is supplemented by our Refund & Cancellation Policy, which is incorporated into these Terms by reference and which you are asked to review before you complete a purchase.
24.1 Automatic renewal
Each plan is a recurring monthly subscription. You are charged at checkout and then once every month on the same billing date. The subscription renews automatically each month and continues until it is cancelled. There is no free trial and no introductory period. You authorize QNOW Consulting Inc. and its payment processor to charge your payment method for each renewal at the then-current plan price until the subscription is cancelled.
24.2 Cancellation
You may cancel at any time, and cancellation stops future renewals. The cancellation methods, and the treatment of a billing month already paid, are set out in the Refund & Cancellation Policy. Nothing in these Terms requires you to cancel by a method other than one that applicable law makes available to you.
24.3 Refunds
Payments are non-refundable once the applicable service has been provided substantially as described at the time of purchase, except where we expressly state otherwise in writing or where a refund is required by applicable law. The Refund & Cancellation Policy governs the detail, including the circumstances in which we will review a refund request.
24.4 What the plan price buys
The plan price is a monthly starting point for the scope confirmed with you during onboarding. Work outside that confirmed scope is not included and may be quoted separately. Prices are stated in U.S. dollars and are exclusive of any tax that may apply. We may change plan pricing on advance notice to the email address used at checkout, effective for billing periods beginning after that notice.
24.5 Your payment representations
By purchasing a plan you represent that:
- You are at least 18 years old and are purchasing for a business you own or are authorized to act for.
- You are authorized to use the payment method you provide and to incur the recurring charge.
- The billing and contact information you provide is accurate and kept current.
- You understand the subscription renews monthly until cancelled.
24.6 Failed payments, suspension, and termination
If a payment fails, is reversed, or is charged back, we may suspend or terminate the subscription and pause work until the amount owed is resolved. We may also suspend or terminate where you do not provide records or access we reasonably need, where continuing would require us to act contrary to law or applicable professional obligations, or where you breach these Terms.
24.7 Payment disputes and chargebacks
If you believe a charge is incorrect, contact us before disputing it with your bank or card issuer. Initiating a chargeback in respect of services that have been provided is a basis for suspension or termination under Section 24.6, and you remain responsible for amounts properly owed for services already performed, together with reasonable costs of collection to the extent permitted by law. Nothing in this section limits any right you have under applicable law or under your card network’s rules to dispute a charge.
24.8 No guaranteed outcome
Purchasing a plan buys the service described, not a result. We do not guarantee any particular tax, lending, audit, regulatory, or financial outcome, and no such outcome is promised or implied by the purchase of a plan, by the Site, or by any communication from our website assistant.
25. Service communication commitments
Where the Site describes a response time for client communications, that commitment means the time within which we aim to acknowledge and respond to a client communication during our regular business hours on business days, excluding weekends and public holidays. It is a commitment about our responsiveness. It is not a promise that a matter will be resolved, that a filing will be completed, or that any particular outcome will be achieved within that period, and it does not create a warranty or service-level guarantee beyond what is stated in this Section. Where a signed engagement letter states different communication terms, that engagement letter controls for that engagement.
26. Website assistant (AI)
The Site offers an automated assistant that generates responses using a third-party artificial-intelligence service. Its responses are generated automatically, may be inaccurate or incomplete, and are general information only. They are not tax, accounting, legal, or investment advice, do not create an accountant-client relationship, and are not binding on QNOW Consulting Inc. Do not rely on the assistant for any decision without speaking to a member of our team. Do not enter Social Security Numbers, taxpayer identification numbers, banking information, or other sensitive personal information into the assistant. Messages you send to the assistant are transmitted to that third-party provider for processing as described in our Privacy Protocol.
This document is provided for general informational purposes and does not constitute legal advice. If you have questions about how these Terms apply to your situation, please contact us.
